Definitions

"Platform" refers to the UPPERSETUP website and associated software, applications, and services.

“Content” refers to all forms of information, data, text, images, graphics, audio, video, and any other material or resources made available through the UPPERSETUP platform. This content may include, but is not limited to, informational articles, guides, documents, templates, reports, and any other material created or curated by UPPERSETUP for the purpose of providing guidance and information to Users.

"Services" refer to the features, functions, and capabilities provided by UPPERSETUP through the Platform.

"User" refers to any individual or entity accessing or using the Platform and Services.

General Terms of Use

Use of Platform is solely at UPPERSETUP's discretion. UPPERSETUP may, if necessary or appropriate, and to the extent permitted by applicable law, prohibit anyone from accessing, using or downloading any information from Platform, or permitting or causing one or more other persons to do so. Users are not granted any rights in or to Platform or any part thereof, other than the limited rights to access and use Platform provided under the General Terms and Conditions. All rights not expressly granted to Users in the General Terms and Conditions are reserved and retained by UPPERSETUP. Users shall comply with all applicable laws (including, without limitation, laws relating to intellectual property or data privacy) when using Platform.

1. Acceptance of Terms

Welcome to UPPERSETUP ("the Platform"), provided by UPPERSETUP Technology LTD("UPPERSETUP," "we," or "us"). By accessing or using the Platform and any associated services (collectively, the "Services"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, then you are not allowed to use this Website and should immediately terminate such usage.

2. Account Suspension and Termination

You agree that UPPERSETUP, at its sole discretion, may suspend or terminate your account or access to the Platform or Services, and remove any content within the Platform, for any reason, including lack of use or if UPPERSETUP believes you have violated these Terms or acted inconsistently with their spirit. Suspected fraudulent, abusive, infringing, or illegal activities may be reported to law enforcement authorities. UPPERSETUP may discontinue the Platform or any part thereof with or without notice. Termination of your access to the Platform or Services may be effected without prior notice, and UPPERSETUP may immediately deactivate or delete your account and related information.

3. Indemnification and Disclaimer

You agree to release, indemnify, and hold UPPERSETUP and its affiliates and their officers, employees, contractors, partners, directors, and agents (collectively, "UPPERSETUP Parties") harmless from any losses, damages, expenses, including reasonable attorneys' fees, claims, actions, or injuries arising from your use of the Platform, your content, your connection to the Platform, or your violation of these Terms. You are not obligated to indemnify UPPERSETUP Parties for any liability resulting from their actions or inaction.

Your access and use of the Platform and Services are at your own risk. The Platform and Services are provided "as is" and "as available," and UPPERSETUP expressly disclaims any warranties or conditions, including the availability, accuracy, and security of the Platform and Services. UPPERSETUP disclaims all other warranties, including merchantability, fitness for a particular purpose, title, and non-infringement. UPPERSETUP will not be liable for any loss or action taken in reliance on the Platform or Services.

UPPERSETUP is not responsible for any loss arising from user error, server failure, unauthorized access, or third-party activities, including viruses, phishing, or attacks on the Platform or Services.

4. Limitation of Liability

UPPERSETUP will not be liable for indirect, incidental, special, consequential, exemplary damages, or loss of profits resulting from your use of the Platform or Services. In no event will UPPERSETUP's total liability to you exceed the amount you paid to UPPERSETUP in the last three months or USD 100, whichever is greater.

5. Governing Law and Dispute Resolution

These Terms are governed by the laws of UAE. If you have a legal dispute with UPPERSETUP, you must first contact UPPERSETUP to attempt to negotiate a settlement.

Any suit or arising out of or relating to these Terms of Use will be brought in the federal or state courts, as applicable, in United Arab Emirates and each party irrevocably submits to the jurisdiction and venue of such courts.

6. Prohibited Uses

UPPERSETUP monitors the misuse of Platform. Use of content on Platform must always be appropriate and in accordance with the professional standards and policies.

Specifically, users shall not

• create or display content on Platform that is illegal, discriminatory, harmful, fraudulent, deceptive or defamatory, that promotes or encourages violence or violation of laws;
• use Platform in a manner which is likely to infringe any UPPERSETUP policy including without limitation any policy relating to information security, data privacy, diversity and inclusion, sustainability, corporate and social responsibility;
• use Platform to violate laws or infringe the rights of Platform or any third party;
• export, download or print large amounts of content from Platform without the prior authorization;
• interfere with the normal functioning of Platform or anyone else's use of Resource Hub;
• use any data mining, robots or similar data gathering and extraction tools, or viruses, Trojan horses, spyware or any other technologies or malicious code in connection with use of Platform or cause or permit one or more other persons to do so;
• copy, modify, decompile, reverse engineer, disassemble, create derivative works of, or otherwise reduce Platform or any part thereof to human-perceivable form or cause or permit one or more other persons to do so, unless explicitly allowed by applicable law;
• ·violate, circumvent or attempt to violate or circumvent any security measures employed by us; access or attempt to access data or materials which are not intended for the Participant's use; log into, or attempt to log into, a server or account which the Participant is not authorized to access; attempt to scan or test the vulnerability of our servers, system or network or attempt to breach our data security or authentication procedures; attempt to interfere with Platform by any means including, without limitation, hacking our servers or systems, submitting a virus, overloading, mailbombing or crashing.

7. Intellectual Property Rights; No use of UPPERSETUP names or logos

This Platform and its contents are protected by copyright, trademark, and other laws of the United Arab Emirates and/or foreign countries. We and our licensors reserve all rights not expressly granted in these Terms of Use.

Knowhow content on Platform and all associated work product is the exclusive property of the UPPERSETUP and you must not copy or remove such content for personal use.

All content included on or through Platform is the property of UPPERSETUP and protected by applicable national and international copyright laws, trademark laws, patent laws, and other intellectual property laws, as applicable. Such content includes but is not limited to text, graphics, logos, button icons, images, data compilations, systems, processes and applications.

Except as otherwise expressly provided under these Terms of Use, UPPERSETUP is not giving Participants any licenses to any such intellectual property by providing access to Platform. All rights not explicitly granted to users are reserved by UPPERSETUP.

"UPPERSETUP", "UPPERSETUP Technology LTD", the UPPERSETUP logo, and local language variants of the foregoing trademarks, and certain product names that appear on this Platform, are trademarks or logos of protected under the laws of the United Arab Emirates and/or foreign countries. Except as expressly provided in these Terms of Use or as expressly authorized in writing, you shall not use any UPPERSETUP logos either alone or in combination with other words or design elements, including, in any press release, advertisement, or other promotional or marketing material or media, whether in written, oral, electronic, visual or any other form.

References to other parties trademarks on this Platform are for identification purposes only and do not indicate that such parties have approved this Platform or any of its contents. These Terms of Use do not grant you any right to use the trademarks and logos of other parties.

8. Waiver

No delay or omission by any party in exercising any right under these Terms of Use with respect to any of the provisions of these Terms of Use shall impair any such right or be construed to be a waiver of any such right.

9. Variation

Any variation of the Terms of Use is valid only if it is in writing or using electronic means (e.g. email) and accepted by the parties thereto. Continued use of Platform constitutes acceptance by a user of any such variations to the information, content, materials or services therein and/or the Terms of Use that are published on Platform from time to time.

10. Severance

If any provision of the Terms of Use is held to be invalid or unenforceable by any judicial or other competent authority, all other provisions of the Terms of Use will remain in full force and effect and will not in any way be impaired.

11. Handling Content

Platform contains content that may be confidential, privileged or proprietary to UPPERSETUP. Users shall take all reasonable measures to protect the confidentiality of such content and care must be taken to check for and remove any client or matter specific content before using materials for another purpose. Platform users shall not disclose, share, leak, destroy, sell, lease, publish, alter, remove or use any content, or cause or permit one or more other persons to do so except where specifically authorised by the party that holds the proprietary rights to, or rights to the confidential or privileged treatment of, the content.

12. Modification of Terms

UPPERSETUP may modify these Terms at any time. Revised Terms will be effective upon their publication on the Platform. It is your responsibility to review these Terms periodically. Continued use of the Platform and Services after modifications signifies your acceptance of the revised Terms.

13. Termination

UPPERSETUP reserves the right to terminate, suspend, or restrict your access to the Platform and Services for any reason without notice.

Upon termination, you must cease using the Platform and Services, and any provisions of these Terms that should survive termination, including intellectual property rights and disclaimers, shall continue in effect.

15. Miscellaneous Provisions

You may not transfer your rights and obligations under these Terms without UPPERSETUP's written consent. UPPERSETUP may do so without your consent.

These Terms constitute the entire agreement between you and UPPERSETUP, superseding all prior agreements. If any part of these Terms is found to be unlawful, invalid, or unenforceable, it will be severed without affecting the remaining terms.

Failure or delay in exercising any rights under these Terms does not constitute a waiver. These Terms do not create a partnership, joint venture, or employment relationship.

These Terms benefit UPPERSETUP, users, and their successors and assigns.

UPPERSETUP is not liable for events beyond its control.
